SOW T&C's
1. PAYMENTS DUE:
Payment in full within 15 (fifteen) days of the date by
which both parties have signed this Contract.
The failure to remit full payment by this date shall constitute a cancellation
of this Contract by Client, subject to the terms of paragraph 5 hereof. If
payment is not received by the scheduled date, a fee of 3% will be added to the
invoice to cover our additional costs.
2. VAT CHARGE:
VAT is payable at the prevailing rate, presently twenty (27%), and is added to all invoices where applicable.
3 TARGET AUDIENCE:
This contract is not contingent upon the scheduling of appointments with specific individuals.
Executive Partners Network KFT cannot accept responsibility for appointments not kept by either party. In the event that individuals do not keep appointments, Executive Partners Network KFT will make reasonable attempts to secure rescheduled or new appointments for Client.
4. DELIVERY OF CONTACTS/LEADS:
Contacts, leads and scheduling will be provided to the client in a timely manner.
5. CLIENT CANCELLATION OF ORDER:
Notice of cancellation must be provided to Executive Partners Network KFT in writing. In the event that Client (a) does not timely pay its amount due or (b) delivers written notice of such cancellation to Executive Partners Network KFT more than twelve (12) weeks prior to the date of the campaign start date, the cancellation fee will be an amount equal to fifty (50%) percent of the total booking price. In the event that Client cancels less than twelve (12) weeks prior to the event Client shall be required to pay the full Contract price.
6. ALTERATION TO THE ADVERTISED PACKAGE:
While every reasonable effort will be made to adhere to the advertised package, Executive Partners Network KFT reserves the right to change or omit event features or change event dates as it deems necessary without penalty.
7. INDEMNITY:
Client hereby indemnifies and holds Executive Partners Network KFT harmless from and against any and all costs, damages and expenses, which are incurred by the Client, its agents and employees.
8. LIABILITY:
In making arrangements with third parties for transportation, hotel accommodation, restaurants or other services, Executive Partners Network KFT acts solely as Client’s agent and does so on the express condition that no liability of any kind howsoever caused shall attach to Executive Partners Network KFT in connection with or arising out of such arrangements.
9. CONFIDENTIALITY:
All information supplied by Executive Partners Network KFT in connection with this Contract, including the names of participants, is confidential and for Client use only. The parties agree that such information may not be conveyed to any third party for any purpose.
10. BINDING ON SUCCESSORS; NO ASSIGNMENT:
This Contract shall run to, be binding on and inure to the benefit of the parties, their successors, representatives and assigns. Notwithstanding the foregoing, Client may not assign, sublet or share possession of any of the services or facilities provided under this Contract to any third
11. INTEGRATION:
This contract constitutes the sole and exclusive contract between the parties and supersedes any and all contemporaneous contracts and agreements, oral or written, pertaining to the transactions contemplated in this contract. The parties agree that no express or implied representations, warranties, or inducements have been made by any party to any other party except as set forth in this contract.
12. CANCELLATION OF EVENT:
In the event that Executive Partners Network KFT permanently cancels the campaign for any reason including Force Majeure, Executive Partners Network KFT shall refund all payments made by Client to Executive Partners Network KFT in full settlement of all claims in connection with this Contract. In the event that Executive Partners Network KFT postpones the campaign or otherwise amends or alters the package due to circumstances beyond its control (“Force Majeure”) (including without limitation, any strike, lockout or other industrial action, unavailability of the facility due to, for example, an Act of God), Executive Partners Network KFT will not be held liable for any costs incurred by the Client but will refund all payments made by Client to Executive Partners Network KFT in connection with this contract. Client is advised to procure insurance coverage through its insurance broker to protect against any losses incurred due to circumstances beyond Executive Partners Network KFT control, including “Force Majeure”.
13. MISCELLANEOUS:
a) Should Client fail to comply with the terms of this Contract or with Executive Partners Network KFT requests for information or other co-operation, Executive Partners Network KFT reserves the right to cancel Client’s booking at its discretion and to deduct any costs incurred.
b) Should a portion of the Contract price be subject to Hungarian or EU taxation, Executive Partners Network KFT reserves the right to add such charges to the final invoice.
d) This Contract shall be governed by and construed in accordance with the laws in Hungary and EU.
d) If any party to this Contract engages lawyers to enforce or interpret any provision of this Contract, the prevailing party in any such action or proceeding shall be entitled to recover reasonable legal fees in addition to any other relief to which it may be entitled. This provision applies to the entire Contract.
e) This Contract shall be binding upon all the parties upon execution and delivery to the other party of this Contract. Delivery by facsimile transmittal shall constitute delivery hereof.
f) Client agrees to abide by the rules, terms and conditions of the event facility.
g) Executive Partners Network KFT reserves the right to exercise our statutory entitlement to employ an external agency to collect late payments under the “late payment legislation 2002” and the client will be liable for any additional charges
